1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Equb Pay LLC ("Equb Pay," "we," "us," or "our"), a Colorado limited liability company, governing your use of the Equb Pay mobile application and website at myequbpay.com (collectively, the "Platform").
By creating an account, joining a circle, or otherwise using the Platform, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not use the Platform.
You must be at least 18 years of age and a resident of the United States to use the Platform.
2. What Equb Pay Is — and Is Not
2.1 What We Do
Equb Pay is a technology platform that facilitates rotating savings circles — a community savings practice known as Equb (Ethiopian), Susu (West African), Tanda (Latino), and Chit Fund (South Asian). We provide:
- Tools to organize and manage savings circle membership and payout schedules
- Payment facilitation through ACH bank transfers between circle members
- Record-keeping and transaction tracking for circle activity
- Communication tools between circle members and organizers
2.2 What We Are Not
- Equb Pay is not a bank. We are not FDIC-insured. We do not hold your funds. Money moves between member bank accounts via ACH transfers — the same electronic system used for direct deposit and bill pay.
- Equb Pay is not a financial advisor. Nothing on the Platform constitutes financial, legal, tax, or investment advice.
- Equb Pay is not a guarantor. We do not guarantee that other circle members will make their contributions. We are not responsible for losses resulting from a member's failure to pay.
- Equb Pay is not a debt collector. We do not pursue, collect, or recover missed contributions on your behalf.
3. Eligibility and Account Registration
3.1 Eligibility
To use the Platform you must:
- Be at least 18 years of age
- Be a resident of the United States
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using financial services under applicable law
- Provide accurate, complete, and current registration information
3.2 Account Registration
You must create an account to use the Platform. You agree to:
- Provide accurate and complete information during registration
- Maintain and promptly update your account information
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activity that occurs under your account
3.3 Identity Verification
We are required by applicable financial regulations to verify the identity of our users. By creating an account, you consent to our collection and verification of your identity information, including name, address, date of birth, and government-issued ID. We use third-party identity verification providers for this purpose. We reserve the right to suspend or terminate accounts where identity cannot be verified.
3.4 One Account Per Person
You may maintain only one account. Creating multiple accounts is prohibited and may result in termination of all associated accounts.
4. Savings Circles — Rules and Responsibilities
4.1 Circle Formation
A savings circle on the Equb Pay Platform consists of a group of members who each agree to contribute a fixed amount at regular intervals, with the pooled amount rotating to one member per cycle. Circles are formed by an organizer and activated only when all invited members have accepted, linked a bank account, and confirmed their participation.
4.2 Your Obligations as a Circle Member
By joining a circle, you agree to:
- Make your agreed contribution on each scheduled due date
- Maintain sufficient funds in your linked bank account to cover your contributions
- Notify the circle organizer promptly if you anticipate difficulty making a contribution
- Accept your payout in the position assigned when you joined the circle
- Comply with these Terms and the rules established by the circle organizer
Your contribution obligation is binding. Joining a circle is a commitment to every other member in that circle. Failing to contribute harms real people who are counting on your participation.
4.3 Organizer Responsibilities
If you create a circle, you take on additional responsibilities as the organizer, including:
- Inviting only people you personally know and trust
- Establishing and communicating clear circle rules before activation
- Managing circle membership, including removing members who default
- Communicating promptly with members about payment issues
- Making your own contributions on time in every cycle
The organizer is not a financial intermediary or agent of Equb Pay. Organizer decisions are made independently and Equb Pay is not responsible for an organizer's conduct.
4.4 Payout Position and Fees
Payout positions are assigned when the circle is formed. The fee structure is position-based:

| Middle positions | 1.5–2.0% of pool |
| Last position | 0.5% of pool |
Your exact fee is displayed before you confirm your position. By confirming your position, you agree to the fee associated with that position. Fees are deducted from your payout. There are no fees on contributions.
4.5 Failed Payments
If your contribution fails due to insufficient funds or a bank error:
- Equb Pay will notify you and the circle organizer immediately
- You are responsible for resolving the failed payment promptly
- Repeated failed payments may result in removal from your circle and suspension of your account
- Equb Pay does not cover or guarantee failed payments. We do not advance funds on your behalf.
4.6 Disputes Between Members
Disputes between circle members — including missed payments, payout disagreements, or membership disputes — are the responsibility of the circle members to resolve. Equb Pay provides transaction records and documentation to assist in dispute resolution but does not adjudicate disputes or make decisions about how they should be resolved.
5. Bank Linking and ACH Transfers
5.1 Plaid
You must link a US bank account to participate in a circle. Bank accounts are linked through Plaid, a third-party financial data provider. By linking your account through Plaid, you agree to Plaid's End User Privacy Policy (available at plaid.com/legal) in addition to these Terms.
5.2 ACH Authorization
By linking your bank account and joining a circle, you authorize Equb Pay to initiate ACH debit entries from your linked bank account for your scheduled contributions. This authorization remains in effect until you withdraw it or your circle concludes. You may withdraw this authorization by contacting us at hello@myequbpay.com, but withdrawal before your circle concludes constitutes a breach of your obligations to your circle members.
5.3 Your Responsibility
You are responsible for maintaining sufficient funds in your linked bank account to cover your scheduled contributions. You are responsible for any fees your bank charges in connection with ACH transactions, including insufficient funds fees.
6. Fees
Equb Pay charges a platform fee on each payout, based on payout position as described in Section 4.4. This fee is the only fee Equb Pay charges. We do not charge:
- Monthly or annual subscription fees
- Account maintenance fees
- Fees on contributions
- Transfer fees for receiving payouts
Fees are subject to change with 30 days' notice. Fee changes will not affect circles that have already been activated.
7. Prohibited Conduct
You agree not to use the Platform to:
- Violate any applicable law or regulation
- Commit fraud, money laundering, or any other financial crime
- Provide false identity information or impersonate another person
- Create circles for commercial purposes unrelated to community savings
- Harass, threaten, or harm other users
- Attempt to circumvent our security measures or access systems without authorization
- Use the Platform for any purpose other than legitimate rotating savings circle activity
- Create multiple accounts or share account credentials
Violation of these prohibitions may result in immediate termination of your account and referral to law enforcement where appropriate.
8. Compliance with Financial Regulations
8.1 Your Compliance Obligations
You represent and warrant that:
- The funds you use on the Platform are from legitimate sources
- Your use of the Platform complies with all applicable laws
- You are not subject to any sanctions administered by OFAC or other applicable sanctions authorities
- You will promptly provide any additional information we request to comply with our regulatory obligations
8.2 Our Compliance Obligations
Equb Pay complies with applicable federal and state financial regulations, including the Bank Secrecy Act (BSA) and anti-money laundering (AML) requirements. We are required to:
- Verify the identity of our users (KYC)
- Monitor transactions for suspicious activity
- File Currency Transaction Reports (CTRs) for certain large transactions
- File Suspicious Activity Reports (SARs) where required
Compliance with these requirements may require us to request additional information from you, delay or block transactions, or report information to government authorities without notice to you.
8.3 Tax Responsibility
You are solely responsible for determining the tax implications of your participation in savings circles on the Platform. Equb Pay does not provide tax advice. Depending on your circumstances, payouts may have tax implications. Consult a qualified tax professional if you have questions about the tax treatment of your circle activity.
9. Intellectual Property
The Platform, including its design, text, graphics, software, and other content, is owned by Equb Pay LLC and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose. You may not copy, modify, distribute, sell, or otherwise exploit any portion of the Platform without our prior written consent.
10. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, EQUB PAY DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT OTHER CIRCLE MEMBERS WILL FULFILL THEIR CONTRIBUTION OBLIGATIONS.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, EQUB PAY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.
EQUB PAY'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO EQUB PAY IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.
Some jurisdictions do not allow limitations on liability for certain types of damages. The limitations above apply to the fullest extent permitted by applicable law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Equb Pay LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Platform
- Your violation of these Terms
- Your failure to fulfill your obligations as a circle member
- Your violation of any applicable law or the rights of any third party
13. Termination
13.1 Termination by You
You may close your account at any time by contacting us at hello@myequbpay.com. Closing your account does not relieve you of any outstanding contribution obligations to active circles.
13.2 Termination by Equb Pay
We reserve the right to suspend or terminate your account at any time, with or without notice, for:
- Violation of these Terms
- Suspected fraud, money laundering, or other illegal activity
- Failure to complete identity verification
- Repeated failed payments
- Any other conduct that we determine, in our sole discretion, is harmful to other users or the Platform
13.3 Effect of Termination
Upon termination, your right to use the Platform ceases immediately. Outstanding obligations to circle members survive termination. We will retain your records as required by applicable law.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or your use of the Platform shall be resolved by binding arbitration in Denver, Colorado, under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in court for matters involving intellectual property or unauthorized access to the Platform.
CLASS ACTION WAIVER: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST EQUB PAY.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. For significant changes, we will provide additional notice, such as an in-app notification or email. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.
16. General Provisions
- Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Equb Pay regarding the Platform.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
- Assignment: You may not assign your rights or obligations under these Terms. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
